NEW YORK, Sept. 15, 2026 (GLOBE NEWSWIRE) -- FTAI Aviation Ltd. (NASDAQ: FTAI; “FTAI” or the “Company”) announced today that the board of directors of the Company (the “Board”) authorized and approved a new share repurchase program (the “Share Repurchase Program”) under which the Company may repurchase up to $500 million of its outstanding ordinary shares (collectively, the “Shares”). The Share Repurchase Program will end on the earlier of the date of completion of the repurchases and September 30, 2029. The Company expects to fund repurchases under the Share Repurchase Program using cash on its balance sheet.
The Company’s proposed repurchases under the Share Repurchase Program may be made from time to time at management’s discretion on the open market at prevailing market prices, in privately negotiated transactions, in block trades and/or through other legally permissible means, depending on market conditions and in accordance with applicable rules and regulations. The Share Repurchase Program permits the Company to establish Rule 10b5-1 trading plans to repurchase Shares at times when it might otherwise be prevented from doing so.
The Share Repurchase Program does not obligate the Company to acquire any particular amount of its outstanding shares and the timing and exact amount of repurchases will depend on various factors, including the performance of the Company’s share price, general market conditions, applicable legal requirements and other factors.
The Company will conduct the proposed share repurchases in compliance with its amended and restated memorandum and articles of association, the Companies Law of the Cayman Islands, the rules and regulations of the U.S. Securities and Exchange Commission and the Nasdaq Global Select Market and all other applicable laws, rules and regulations. The Company may suspend, modify or discontinue the Share Repurchase Program at any time and without notice.
